北京报道\u003c/p\u003e\u003cp\u003e因在互动平台上妄言“抖音超市现阶段由本公司代运营”，\u003c!--SECURE_LINK_BEGIN_0--\u003e思美传媒\u003c!--SECURE_LINK_END_0--\u003e（002712.SZ）遭证监会行政处罚后，如今又被法院判决向有关投资者赔偿损失。\u003c/p\u003e\u003cp\u003e2024年12月17日，浙江省高级人民法院（下称“浙江高院”）作出二审终审判决，思美传媒须向投资者霍裴（化名）赔偿投资差额、佣金、印花税等损失共计约42万元。\u003c/p\u003e\u003cp\u003e12月24日，代理该案的广东环宇京茂律师事务所徐越惠律师告诉《华夏时报》记者，其在12月23日下午收到该案二审判决，根据判决结果，在2023年11月27日下午开盘后买入，且在2023年11月28日及之后卖出或持有思美传媒股票的受损投资者，有望获赔一部分投资损失。\u003c!--MID_AD_0--\u003e\u003c!--EOP_0--\u003e\u003c/p\u003e\u003c!--MID_ARTICLE_AD_0--\u003e\u003c!--PARAGRAPH_0--\u003e\u003cp\u003e12月26日下午，思美传媒证券部人士向本报记者表示，这个事情是公司法务部在跟进，暂时没有相关信息可以提供，公司经营方面一切正常。\u003c/p\u003e\u003cp\u003e\u003cstrong\u003e一个涨停后暴跌三天\u003c/strong\u003e\u003c/p\u003e\u003cp\u003e公开资料显示，思美传媒是一家综合性的文化传媒集团和文旅运营服务商，主要为客户提供品牌管理、广告创意设计、娱乐内容营销、户外媒体运营等整合营销传播服务，2014年1月在深交所挂牌上市。\u003c/p\u003e\u003cp\u003e这起虚假陈述案还要从一年前说起。\u003c/p\u003e\u003cp\u003e2023年11月27日12时50分，在深交所互动易平台上，思美传媒对投资者关于“公司作为抖音的长期合作伙伴，是否有相关业务与抖音超市合作”的提问，回复称“抖音超市现阶段由本公司代运营”。受该消息影响，思美传媒股价当天下午开盘后快速由下跌拉升至涨停，并保持到收盘。\u003c!--MID_AD_1--\u003e\u003c!--EOP_1--\u003e\u003c/p\u003e\u003c!--MID_ARTICLE_AD_1--\u003e\u003c!--PARAGRAPH_1--\u003e\u003cp\u003e然而，当日收盘后，思美传媒在互动易平台答复投资者相关提问称“公司所称代运营抖音超市，是指公司代运营了抖音官方超市的官方直播间之一”。\u003c/p\u003e\u003cp\u003e2023年11月27日盘后、28日，抖音电商官方微博就“思美传媒代运营抖音超市”发布辟谣信息：思美传媒所称“抖音超市现阶段由本公司代运营”，与实际情况不符。\u003c/p\u003e\u003cp\u003e随着抖音电商辟谣，2023年11月28日、29日，思美传媒股价连续两日跌停，11月30日进一步大跌逾7%，不少投资者因此事件蒙受巨大损失。\u003c/p\u003e\u003cp 股，买入价格为8.26元/股；2023年11月29日全部卖出，卖出价格为6.69元/股。其实际投资差额损失加上佣金、印花税合计为466279元。\u003c!--MID_AD_2--\u003e\u003c!--EOP_2--\u003e\u003c/p\u003e\u003c!--MID_ARTICLE_AD_2--\u003e\u003c!--PARAGRAPH_2--\u003e\u003cp\u003e一审法院浙江省杭州市中级人民法院（下称“杭州中院”）认定，前述信息披露对投资者作出投资决策具有重大影响，且其实施、揭露导致思美传媒的交易价格产生明显变化，已满足虚假陈述重大性要件，构成证券法意义上的虚假陈述侵权行为，霍裴主张的投资损失与思美传媒虚假陈述之间存在交易因果关系。\u003c!--MID_AD_3--\u003e\u003c!--EOP_3--\u003e\u003c/p\u003e\u003c!--MID_ARTICLE_AD_3--\u003e\u003c!--PARAGRAPH_3--\u003e\u003cp\u003e杭州中院结合霍裴在思美传媒虚假陈述实施日之后的股票买卖情况及其间深证成指等证券指数变化幅度等因素，酌情扣除案涉投资损失的10%，认定霍裴在本案中的实际投资损失为419651.1元，判决思美传媒按该金额进行赔偿。\u003c/p\u003e\u003cp\u003e思美传媒不服一审判决，提出上诉。该公司认为，霍裴以思美传媒非正式公告方式做出的，市场其他投资者明显存在疑问的答复内容即做出买入决策，对于投资损害的发生存在过错。\u003c/p\u003e\u003cp\u003e2024年12月17日，浙江高院经审理认为，一审判决认定事实清楚，适用法律正确，二审判决驳回思美传媒上诉，维持原判。\u003c/p\u003e\u003cp\u003e徐越惠律师告诉记者，这是思美传媒虚假陈述案的首案二审判决，首案就霍裴一个当事人，其他案件会按照这个案件来走调解。\u003c/p\u003e\u003cp\u003e\u003cstrong\u003e时任董秘已被免职\u003c/strong\u003e\u003c/p\u003e\u003cp\u003e值得一提的是，对思美传媒虚假陈述案，证监会早前已作出行政处罚。\u003c/p\u003e\u003cp\u003e2023年11月29日，因涉嫌信息披露违法违规，证监会决定对思美传媒立案调查。\u003c/p\u003e\u003cp\u003e经过调查，浙江证监局认定思美传媒上述信息披露不真实、不准确、不完整，构成误导性陈述，时任思美传媒董事会秘书李子木，负责公司对投资者在深交所互动易平台所提问题的回复工作，其编写“抖音超市现阶段由本公司代运营”的答复信息并决定发布，是思美传媒信息披露违法行为直接负责的主管人员。\u003c!--MID_AD_4--\u003e\u003c!--EOP_4--\u003e\u003c/p\u003e\u003c!--MID_ARTICLE_AD_4--\u003e\u003c!--PARAGRAPH_4--\u003e\u003cp\u003e2024年1月，浙江证监局对思美传媒作出行政处罚：对思美传媒给予警告，并处以一百五十万元罚款；对李子木给予警告，并处以一百万元罚款。\u003c/p\u003e\u003cp\u003e作为董秘，为此事付出了不小的代价。2024年2月4日，思美传媒召开董事会会议，免去了李子木董秘、副总经理职务，免职后李子木不在公司担任其他职务。\u003c/p\u003e\u003cp\u003e记者注意到，12月17日，也就是浙江高院作出前述判决的当天，思美传媒股价跌停，自那以来累计跌幅达30%。截至12月26日收盘，思美传媒股价收报5.35元/股，涨幅0.75%，市值约29亿元。\u003c/p\u003e\u003cp\u003e责任编辑：麻晓超
